Terms of Service
Last updated 2026-10-29
These Terms of Service govern access to lattix.ai and services offered by PsyZen, Inc., doing business as Lattix. A signed master services agreement, statement of work, order form, or item license is an “Order.” A finalized AI Workflow Audit Order expressly accepted through an enabled checkout also qualifies as an Order; a draft or guide does not. If an Order conflicts with these Terms, the Order controls for that engagement.
1. Acceptance and eligibility
By accessing the site, creating an account, purchasing an offering, or accepting an Order, you agree to these Terms. You must be at least 18 years old and able to form a binding contract. If you act for an organization, you represent that you have authority to bind it.
If you do not agree, do not use the site or services.
2. Services and Orders
Lattix provides AI strategy, creative production, workflow and agent systems, software builds, design services, training, and related digital products. Unless a finalized Audit Order states a fixed scope and fee, public prices are starting prices in U.S. dollars, not binding quotes. Scope, milestones, acceptance criteria, dependencies, fees, and delivery dates are established in an Order.
Work outside an Order requires a written change request. Client delays, missing access, third-party outages, or material scope changes may change the schedule and fees.
3. Accounts and security
You are responsible for accurate account information, authorized users, and safeguarding credentials. Notify Lattix promptly of suspected unauthorized access. You may not share credentials outside your organization or use another person’s account without permission.
4. AI-assisted services
AI systems can produce incomplete, inaccurate, biased, or non-unique output. Unless an Order expressly states otherwise, output is provided for human review and is not a substitute for legal, medical, financial, employment, safety, or other regulated professional judgment.
You are responsible for reviewing output before use, confirming factual and legal suitability, maintaining appropriate backups and controls, and deciding whether output may be used in your business. Do not submit regulated, highly sensitive, or confidential data to an AI feature unless the applicable Order and data-processing terms expressly authorize it.
5. Client materials and cooperation
You retain ownership of materials you provide and grant Lattix a limited license to use them only to deliver, secure, support, and improve the contracted services. You represent that you have the rights and permissions needed for that use.
Each party will protect non-public business information using reasonable care. More specific confidentiality, security, and data-processing obligations may be included in an Order.
6. Intellectual property
Lattix and its licensors retain all rights in the site, brand, software, methods, templates, know-how, pre-existing materials, and reusable tools. Subject to full payment, you receive the ownership or license to final deliverables stated in the applicable Order.
Deliverables may include open-source software, third-party assets, fonts, models, or other materials governed by their own licenses. Lattix will identify material third-party or pre-existing components when required by the Order. No rights are granted by implication.
7. Market listings and digital products
Lattix Market is currently a labeled product preview. Preview listings, prices, install counts, ratings, checkout, and submission flows do not represent live offers or completed transactions.
When commerce is activated, each item will have an item-specific license, support terms, refund policy, and seller identity. Submitters must own or control all required rights, disclose material dependencies and restrictions, and may not submit unlawful, deceptive, infringing, malicious, or privacy-invasive content. Lattix may review, reject, suspend, or remove listings.
8. Fees, taxes, subscriptions, and refunds
Fees, billing cadence, deposits, expenses, taxes, cancellation rights, and refund terms are stated in the applicable Order or checkout. Unless stated otherwise, fees are non-refundable once work begins or a digital product is delivered, except where applicable law requires otherwise.
For an AI Workflow Audit governed by an accepted online Order, that Order’s specific cancellation and refund terms take precedence over the default above. A draft Order cannot be accepted and creates no purchase rights.
Subscriptions renew for the period shown at purchase until canceled. Cancellation stops future renewal and does not retroactively refund the current period. Pausing is available only where the applicable plan expressly offers it. You are responsible for taxes other than taxes based on Lattix’s net income.
9. Acceptable use
You may not use the site or services to violate law or third-party rights; create or distribute malware; bypass security or usage limits; interfere with service integrity; scrape or probe systems without permission; impersonate others; facilitate fraud, harassment, discrimination, or exploitation; or use output in a high-risk context without appropriate qualified human oversight.
You may not reverse engineer non-public service components except to the extent a restriction is prohibited by law.
10. Third-party services
The services may interoperate with third-party models, platforms, hosting providers, payment processors, and customer systems. Third-party services are governed by their own terms and may change or become unavailable. Lattix is not responsible for a third party’s service, but will remain responsible for obligations expressly assigned to Lattix in an Order.
11. Preview and beta features
Features labeled preview, beta, demo, mock, or coming soon may be incomplete, may change without notice, and may not be used for production decisions. They are provided for evaluation and do not carry service levels, warranties, purchase rights, or data-retention commitments unless an Order expressly says otherwise.
12. Warranties and disclaimers
Lattix will perform paid professional services in a professional and workmanlike manner. Your exclusive remedy for a proven breach of that warranty is re-performance of the affected service if you notify Lattix within 30 days after delivery.
Except for express warranties in an Order and to the maximum extent permitted by law, the site, previews, and services are provided “as is” and “as available.” Lattix disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that AI output will be accurate, unique, or error-free. These disclaimers do not limit rights that cannot legally be waived.
13. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profit, revenue, goodwill, or data, arising from these Terms or the services, even if advised of the possibility.
Except for payment obligations, misuse of the other party’s intellectual property or confidential information, indemnification obligations, fraud, willful misconduct, or liability that cannot be limited by law, each party’s total aggregate liability is limited to fees paid or payable under the Order giving rise to the claim during the 12 months before the event that created liability.
14. Indemnification
You will defend and indemnify PsyZen, Inc. and its personnel from third-party claims arising from your materials, your unlawful or unauthorized use of the services, your breach of Section 9, or your violation of third-party rights. Lattix will provide prompt notice and reasonable cooperation and will allow you to control the defense, subject to Lattix’s right to participate and approve any settlement that imposes liability or admissions on Lattix.
15. Suspension and termination
Lattix may suspend access when reasonably necessary to address security risk, illegal use, material breach, or overdue undisputed fees. Either party may terminate as provided in an Order. Sections that by their nature should survive termination remain in effect, including payment, intellectual property, confidentiality, disclaimers, liability limits, indemnification, and dispute provisions.
16. Governing law and disputes
Unless an Order states otherwise, these Terms are governed by Delaware law without regard to conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction, and each party consents to venue there. Before filing a claim, the parties will try in good faith for 30 days to resolve it through written notice and business-level discussion.
17. General terms
Neither party may assign an Order without the other party’s consent, except in connection with a merger, reorganization, or sale of substantially all relevant assets. Neither party is liable for delay caused by events beyond reasonable control. If a provision is unenforceable, it will be modified only as needed and the remainder will stay effective. A waiver must be in writing. These Terms and applicable Orders are the complete agreement for their subject matter and do not create a partnership, employment, agency, or fiduciary relationship.
18. Changes and contact
Lattix may update these Terms prospectively. Material changes will be identified by a new effective date and, for account holders, reasonable notice when required by law. Changes do not retroactively alter a signed Order.
Questions or legal notices may be sent to hello@psyzen.xyz. Formal notices under an Order must follow the notice method stated in that Order.
